American Bank Note Company's contract for printing infalsificables, New York, 15 September 1915

This Contract entered into on the fifteenth day of September of Nineteen hundred and fifteen, by and between the American Bank Note Company, a Corporation located in the City of New York, in the State of New York, United States of America, party of the first part, and Sr. Don Luis Cabrera, Secretary of Finance of the Mexican Government, representing Venustiano Carranza, Chief of the Executive Power of Mexico, party of the second part, WITNESSETH:-
(1) The Company agrees to furnish an issue of notes for the Mexican Government in accordance with the specifications contained in the following clauses.
(2) The company agrees to engrave the dies, prepare the rolls, plates and seals which are necessary for the printing of the notes to which this contract refers, in accordance with the models which will be presented to Sr. Cabrera, or to whatever person he may appoint in writing.
(3) The notes of the Constitutional government which shall be printed in accordance with this contract will have to be steel engraved on the face and on the back. On the face will also appear a multicolor counter, prepared on the geometrical lathe, and double numbering. On the back the bill will bear in color the seal of the Mexican Government. All the foregoing will be in accordance with the specifications or instructions which Sr. Cabrera, or the person he specially designates for this purpose, will give regarding the model.
(4) The American Bank Note Company agrees to deliver the notes numbered, seal and completely finished, cut, put up in packages in numerical order, and packed F.O.B.New York, in the most careful manner and following the usual custom and precautions for the shipments of securities.
(5) The quantities, sizes and price of the notes to be furnished by the Company, will be the following:-
1st Series 10,000,000 (Ten million) Notes of $5 (5 Pesos), size 2-3/8 x 5-1/2 inches, at the price of $11.35 U.S.Cy. (Eleven dollars and thirtyfive cents), per 1000 notes, with a total value of $113,500 U.S.Cy. (One hundred thirteen thousand five hundred dollars).
2nd Series 5,000,000 (Five million) Notes of $10 (10 Pesos), size 3 x 6-1/8 inches, at the rate of $12.50 U.S.Cy. (Twelve dollars and fifty cents), per 1000 notes, with a total value of $62,500 U.S.Cy. (Sixtytwo thousand five hundred dollars).
3rd Series 2.500,000 (Two million five hundred thousand) Notes of $20 (20 Pesos), size 3 x 6-1/8 inches, at the rate of $13.35 U.S.Cy. (Thirteen dollars and thirtyfive cents), per 1000 notes, with a total value of $33,375 U.S.Cy. (Thirtythree thousand three hundred and seventyfive dollars).
4th Series 1,000,000 (One million) Notes of $50 (50 Pesos), size 3-3/8 x 7 inches, at the rate of $14.15 U.S.Cy. (Fourteen dollars and fifteen cents), per 1000 notes, with a total value of $14,150 U.S.Cy. (Fourteen thousand one hundred and fifty Dollars).
5th Series 500,000 (Five hundred thousand) Notes of $100 (100 Pesos), size 3-3/8 x 7 inches, at the rate of $15.35 U.S.Cy. (Fifteen dollars and thirtyfive cents), per 1000 notes, with a total value of $7,675 U.S.Cy. (seven thousand six hundred and seventyfive Dollars).
In addition to the above prices, the Company will charge the Mexican Government, for the engraving and preparing of the dies, plates and seals, the amount of $15,000 U.S.Cy. (Fifteen thousand Dollars), the full total of the present contract being therefore the amount of $246,200 U.S.Cy. (Two hundred fortysix Thousand, two hundred Dollars).
(6) The above mentioned prices are F.O.B.New York, freight and insurance from this City to the Republic of Mexico being for account of the Constitutional Government.
(7) The printing will be done from the best quality of steel plates to be engraved in the highest style of art current in modern times.
(8) the printing of the notes under consideration is to be on the American Bank Note Company’s special bank note paper, a specimen of which is attached to this contract.
(9) The Mexican Government will have the right to name a representative to supervise the printing of the notes, who will also have charge, in conjunction with the American Bank Note Company, of the sealing of all the cases containing bank notes shipped to the Mexican Government.
(10) The Constitutionalist Government agrees to pay the Company the value of the work which the latter will furnish on the following terms: 30% (30 per cent) of the total value of the contract upon signing the contract; 20% (20 per cent) upon approval of the models; 25% (25 per cent) upon making the first delivery of notes; and the balance of 25% (25 per cent) upon completing 50% (fifty per cent) of the shipments of the issue.
(11) Upon the receipt of the payment of the sum of $73,860 U.S.Cy. (Seventythree thousand eight hundred and sixty Dollars), being 30% (thirty per cent) of the total value of the contract, the Company agrees to immediately commence the work on the aforementioned notes,
(12) Unless the parties interested in this contract modify by common consent the stipulations contained in the present clause, the Company agrees to commence delivery of the notes, twelve weeks after the final approval of the models. Each delivery should be simultaneous for all denominations, and in proportion, at least, of 5% (five per cent) of each series per week.
(13) The delivery of notes will be in accordance with instructions which the American Bank Note Company receives from the Constitutionalist Government, or from the person representing it during the execution of this contract.
(14) When all the work, which will be executed in virtue of the present contract, is finished, all the dies, rolls, plates, seals and whatever other engraved pieces have been prepared for the execution of this issue, will be entered in an inventory and will remain at the exclusive disposal of the Constitutionalist government, being sealed up under the seal of both contracting parties and deposited in the vaults of the company. The said materials used for this issue will always remain in the custody of the Company, subject to the future orders of the party of the second part for their further use or for their destruction.
(15) The Company agrees at any future time, to furnish notes printed from the same plates and embodying the same class of work and material used, under the same conditions and clauses of the present contract, and at prices which in no case will be greater per 1000 notes than the prices stipulated in this contract, and without charging for the engraving of the dies or plates, provided that no change has been made in the plates.
IN TESTIMONY WHEROF, the said American Bank Note Company party, of the first part as aforesaid, acting herein by Albert S. Schomp, Assistant Secretary, and Daniel E. Woodhull, First Vice President of the said Company, have caused their names to be signed, and the said Sr. Don Luis Cabrera as Secretary of Finance of Mexico, representing Sr. Don Venustiano Carranza, Chief of the Executive Power of Mexico, party of the second part as aforesaid, has caused his name to be signed at the City of New York on this fifteenth day of September, 1915.

CONTRATO celebrado el día quince de Septiembre de mil novecientos quince, entre La American Bank Note Co., corporacion domiciliada en la Ciudad de Nueva York, Estado de Nueva York, Estados Unidos de América, como primera parte contratante, y el. Sr. Don Luis Cabrera, Secretario de Hacienda del Gobierno Mexicano, como representante del Sr. Don Venustiano Carranza, Encargado del Poder Ejecutivo de México, como segunda parte contratante.
1. – La Compañía se obliga a imprimir una emisión de billetes del Gobierno Mexicano, de acuerdo con las especificaciones contenidas en las cláusulas siguientes:
2.- La Compañía se obliga a hacer las matrices, rodillos, placas y sellos necesarios para efectuar la impresión a que se refiere este contrato, e acuerdo con los modelos que presentará para su aprobación al Sr. Cabrera, o a la persona que esté designe por escrito.
3. – Los billetes del Gobierno Constitucionalista que deben imprimirse conforme al presente contrato, deberán ir grabados sobre acero en el anverso y en el reverso. En el anverso llevarán grabada, además, una contramarca multicolor, trabajada a la máquina loca, y doble numeración. En el reverso el billete llevará impreso, en color, el sello del Gobierno Mexicano. Todo esto conforme a las especificaciones o instrucciones que respecto del modelo dé el Sr. Cabrera, o la persona especialmente designada por él para ese efecto.
4. – La American Bank Note Co. se obliga a entregar los billetes numerados, sellados y en todo concluidos, cortados, ordenados conforme a en numeración y empacados f.o.b. en la Ciudad de Nueva York, en la forma más cuidadosa y con [las precauciones que] se acostumbra tomar [para los envíos de seguros].
5. –Las cantidades, dimensiones y precios de los billetes fabricados por la Compañía, serán los siguientes:
1ra. Serie. – 10,000,000 (diez millones) de billetes de $5 (cinco pesos), tamaño 2.5/8 x 5.1/2 pulgadas, al precio de $11.35 U.S.Cy. (once dólares treinta y cinco céntimos de dólar) por millar de billetes, con un valor total de $113,500 U.S.Cy. (ciento trece mil quinientos dólares).
2da. Serie. – 5,000,000 (cinco millones) de billetes de $10 (diez pesos), en tamaño de 3 x 6.1/8 pulgadas, a razón de $12.50 U.S.Cy. (doce dólares cincuenta céntimos de dólar) por millar de billetes, con un valor total de $62,500 U.S.Cy. (sesenta y dos mil quinientos dólares).
3ra. Serie. –2,500,000 (dos millones quinientos millones) de billetes de $20 (veinte pesos), en tamaño de 3 x 6.1/8 pulgadas, a razón de $13.35 U.S.Cy. (trece dólares treinta y cinco céntimos de dólar) por millar de billetes, con un valor total de $33,375 U.S.Cy. (treinta y tres mil trescientos setenta y cinco dólares).
4ta. Serie. –1,000,000 (un millón) de billetes de $50 (cincuenta pesos), en tamaño de 2.3/8 x 7 pulgadas, a razón de $14.15 U.S.Cy. (catorce dólares quince céntimos de dólar) por millar de billetes, con un valor total de $14,150 U.S.Cy. (catorce mil ciento cincuenta dólares).
5ta. Serie. –500,000 (quinientos mil) billetes de $100 (cien pesos), en tamaño de 2.3/8 x 7 pulgadas, a razón de $15.35 U.S.Cy. (quince dólares treinta y cinco céntimos de dólar) el millar de billetes, con un valor total de $7,675 U.S.Cy. (siete mil seiscientos setenta y cinco dólares).
Además de los precios anteriores, la Compañía cargará al Gobierno Mexicano, por el trabajo de fabricación de las matrices, placas y sellos, la cantidad de $15,000 U.S.Cy. (quince mil dólares), siendo por lo tanto el importe total del presente contrato la cantidad de $246,200 U.S.Cy. (doscientos cuarenta y seis mil doscientos dólares).
6. – Los precios mencionados se entienden f.o.b. en la Ciudad de Nueva York, siendo los gastos de flete y seguros desde este Ciudad a la República Mexicana, por cuenta del Gobierno constitucionalista.
7.- El trabajo de impresión se hará con placas de la mejor calidad, por los procedimientos más perfectos y en el estilo artístico más acabado de la época actual.
8. – La impresión de los billetes de que se trata se hará en el papel especial para billetes de banco que fabrica la American Bank Note Co., y cuya muestra se agrega al presente contrato.
9. – El Gobierno Mexicano tendrá el derecho de nombrar un representante que vigile la manifactura de los billetes, el cual estará tambien encargado de sellar, en conjunto con la American Bank Note Co., todas las cajas con billetes que se remitan al Gobierno Mexicano.
10. – El Gobierno Constitucionalista conviene en pagar a la Compañía el valor del trabajo que ésta va a ejecutar, en los siguientes términos: 30% (treinta por ciento) del valor total del contrato al firmarse el presente: 20% (veinte por ciento) al quedar aprobados los modelos: 25% (veinticinco por ciento) al hacerse la primera entrega de billetes, y el 25% (veinticinco por ciento) restante al completarse el embarque del 50% (cincuenta por ciento) de la emisión.
11. – En consideración al pago de de suma de $73,860 U.S.Cy. (setenta y tres mil ochocientos sesenta dólares), que como 30% (treinta por ciento) del valor total del contrato recibe en este acto la Compañía, ésta se obliga a comenzar inmediatamente los trabajos para la emisión de los referidos billetes.
12. – Salvo que las partes modifiquen de común acuerdo y en vista de las circunstancias las estipulaciones contenidas en la presente cláusula, la Compañía se obliga a comenzar las entregas de billetes doce semanas despues de la completa aprobación de los modelos. Dichas entregas deberán ser simultaneas para todas las denominaciones, y en proporcion, cuando menos, de un 5% (cinco por ciento) de cada serie por semana.
13. – Las remisiones de billetes se harán de acuerdo con las instrucciones que la American Bank Note Co. reciba del Gobierno Constitucionalista, o de la persona que le represente durante la ejecución del presente contrato.
14. – Cuando queden terminados los trabajos que deben ejecutarse en virtud del presente contrato, todas las matrices, punzones, placas, sellos y cualesquiera otras piezas que se hayan hecho para ejecutar los trabajos de esta emisión, se inventariarán y quedarán a disposición exclusiva del Gobierno Constitucionalista, poniéndolos bajo el sello de ambas partes contratantes y depositándolos en las bóvedas de seguridad de dicha Compañía. Dichos artículos usados pata esta emisión permanecerán siempre bajo la vigilancia de la Compañía, sujetos a las órdenes posteriores de la segunda parte contratante, para usos futuros o para su destrucción.
15. – La Compañía se obliga para cualquier a época posterior, a imprimir billetes de las mismas placas y de igual calidad de trabajo y materiales usados, bajo las mismas condiciones y cláusulas del presente contrato, y a precios que en ningún caso sean mayores por millar de billetes de los estipulados en este contrato, y sin recargo ninguno por costo de fabricación de matrices e placas, siempre que en ellos no se haga ninguna modificación.
EN FE DE LO CUAL la American Bank Note Co., representada aquí por el Sr. Albert S. Schomp, Secretario Ayudante, y el Sr. Daniel E. Woodhull, Primer Vice-Presidente de la referida Compañía, como primera parte contratante, y el Sr. Don Luis Cabrera, Secretario de Hacienda del Gobierno Mexicano, en representación del Sr. Don Venustiano Carranza, Encargado del Poder Ejecutivo de México, como segunda parte contratante, han firmado y sellado el presente contrato en la Ciudad de Nueva York, el día quince de Septiembre de mil novecientos quince.
